Agentic UI Kit License

This license is a legal agreement between you and Valtiant (the "Licensor"), the owner and licensor of Agentic UI Kit. It governs your use of the Product. By downloading, installing, accessing or using any part of the Product you accept this license. If you do not accept it, do not use the Product.

1. Definitions

• "Product": Agentic UI Kit and everything delivered with it or through it: components, blocks, patterns, templates, blueprints, motion pieces, effects, generators, themes and design tokens, fonts, icons and images supplied with it, the catalog, the private registry and its access token, the CLI, the MCP server, the agent skills, the documentation, and any update the Licensor delivers under this license.
• "You": the individual or legal entity that bought the license. If a company buys the license, "you" means that company, acting through its Seats.
• "Seat": one named individual allowed to use the Product. A Solo license includes one Seat. A license that states more Seats at purchase includes that number. Seats may be reassigned when a person leaves your organization, not rotated to share access.
• "End Product": a website, web, mobile or desktop application, internal tool, SaaS product or other software that you build for yourself or for a client, in which the Product is incorporated and which provides substantial value and functionality beyond the Product itself.
• "Client": a person or organization for whom you build an End Product.

2. License grant

Subject to your compliance with this license and to payment of the applicable fee, the Licensor grants you a worldwide, non-exclusive, non-transferable, non-sublicensable, perpetual license to:

1. Use the Product, through your Seats, to design, develop and maintain an unlimited number of End Products, for yourself or for Clients, for personal or commercial purposes.
2. Copy, modify, adapt, translate and combine the Product's code and assets as needed inside your End Products.
3. Deploy, host, operate, sell and distribute your End Products, including the Product parts compiled into or included in them, to end users who use the End Product and not the Product on its own.
4. Deliver to a Client the End Product you built for them, including its source code. The Client may use, maintain and modify that End Product. The Client receives no license to use the Product for anything else; to build other products with it, the Client needs its own license.
5. Use AI coding assistants and agents (including through the included CLI, MCP server and skills) to work with the Product while building your End Products, provided the assistant is used on your behalf and the Product is not disclosed for the purposes forbidden in section 3.

3. Restrictions

Except as expressly allowed in section 2, you may not, in whole or in part, modified or unmodified:

1. Redistribute, share, publish, sublicense, sell, rent, lease, lend or give away the Product or any of its parts (source files, templates, assets, catalog, registry or documentation) by any means, including public or private repositories, packages, archives, marketplaces or file-sharing services.
2. Disclose, share or publish your registry access token, or let anyone who is not one of your Seats use it.
3. Use the Product to create, or make it part of, a product that competes with the Product, or whose main value comes from the Product: for example a UI kit, component library, template, theme, starter kit, boilerplate, design system, component registry, website or theme builder, code generator, or AI tool or dataset of UI code.
4. Make the Product's code or assets available in a form that allows others to extract and reuse them apart from your End Product. If the source code of an End Product is public (for example an open-source project), the Product parts it contains remain under this license and may not be offered, documented or packaged as reusable components.
5. Use the Product, or output derived from it, to train, fine-tune, evaluate or benchmark machine-learning models, or include it in any dataset.
6. Let more individuals use the Product than the Seats you bought, or share a Seat between several people.
7. Remove, alter or obscure any copyright, license or attribution notice in the Product.
8. Use the Product in violation of applicable law.

4. Attribution

Attribution must be kept at all times:

1. Source code. Keep the copyright and license notices that the Product includes in its files. In every End Product whose source code contains parts of the Product, keep this notice in a file of the source tree, such as a README, NOTICE or LICENSE file:

> Portions of this software are from Agentic UI Kit and are used under the Agentic UI Kit License.

The notice does not have to be visible to the users of your End Product.

1. Third-party material. Some parts of the Product are open-source software, fonts or material licensed from third parties. They are listed in THIRD_PARTY_NOTICES.md, remain under their own licenses, and those licenses prevail over this one for those parts. Keep their notices as those licenses require.

5. Updates and support

Updates the Licensor publishes for the major version you bought (1.x) are covered by this license at no extra cost. Support, refunds and access to future major versions are governed by the terms published by the Licensor at the time of purchase.

6. Ownership

The Product is licensed, not sold. The Licensor and its licensors keep all rights, title and interest in the Product, including all intellectual property rights. Everything you create that is not part of the Product belongs to you.

7. Termination

This license ends automatically, without notice, if you breach any of its terms. When it ends you must stop using the Product and destroy every copy you hold, except the Product parts already incorporated into End Products that you distributed in compliance with this license before it ended; those End Products may continue to be used by their end users and Clients.

8. Disclaimer of warranty

THE PRODUCT IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. YOU ARE RESPONSIBLE FOR REVIEWING, TESTING AND SECURING THE END PRODUCTS YOU BUILD WITH IT, INCLUDING CODE WRITTEN OR MODIFIED BY AI ASSISTANTS.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE PRODUCT OR THIS LICENSE. THE LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE.

10. Consumer rights

Nothing in this license limits rights that you have under consumer protection laws and that cannot be waived by contract.

11. General

1. Assignment. You may not assign or transfer this license without the Licensor's written consent. The Licensor may assign it in connection with a transfer of the Product.
2. Governing law. This license is governed by the laws of the Oriental Republic of Uruguay, without regard to its conflict-of-law rules. The courts of Montevideo, Uruguay, have jurisdiction, without prejudice to mandatory consumer protection rules of your country of residence.
3. Severability. If a provision is held unenforceable, it is limited to the minimum extent necessary and the rest remains in effect.
4. No waiver. Failure to enforce a provision is not a waiver of it.
5. Entire agreement. This license is the entire agreement between you and the Licensor about the Product and supersedes any prior understanding. Any other terms apply only if the Licensor accepts them in writing.
